1. Acceptance of Terms

By engaging HostSB Marketing for any service - including but not limited to website design, hosting, search engine optimization (SEO), Google Business Profile setup, or consulting - you agree to be bound by these Terms of Service.

Payment of a deposit or first invoice constitutes acceptance of these terms in full. If you do not agree with any part of these terms, please do not proceed with services.

2. Services Provided

HostSB Marketing provides the following services to small businesses, primarily in Florida:

• Custom WordPress website design and development
• Website hosting (optional, $59/month)
• Search engine optimization (SEO) - on-page, technical, and local SEO best practices
• Google Business Profile setup and optimization
• Logo design (standard text-based logos included with certain packages; custom graphic logos available for additional fee)
• Ongoing website maintenance and updates (available as needed)
• Marketing consulting for small businesses

Specific deliverables, scope, and pricing are defined in individual project agreements or invoices provided at the start of each engagement.

3. Client Responsibilities

To ensure timely delivery and quality outcomes, clients are responsible for:

• Providing accurate business information, content, and assets in a timely manner
• Reviewing and approving deliverables within 5 business days of receipt
• Obtaining necessary licenses, permissions, and rights for any content, images, logos, or materials they provide
• Ensuring all content provided is legally permissible and does not infringe on any third-party rights
• Maintaining valid contact information for account communications
• Paying invoices according to agreed terms

Delays caused by client non-response, incomplete information, or excessive revisions beyond scope may extend timelines and result in additional fees.

4. Payment & Deposits

Deposits

A $500 deposit is required before any project work begins. This deposit is applied toward the total project cost and is non-refundable once work has commenced.

Payment Terms

Remaining project balance is due upon project completion and prior to final site launch, unless otherwise agreed in writing. Hosting fees ($59/month, when applicable) are billed monthly in advance.

Late Payments

Payments not received within 15 days of invoice date may result in service suspension. Late payment on hosting services may result in website deactivation until the account is brought current.

Accepted Payment Methods

We accept payment via bank transfer, credit card (Visa, Mastercard, American Express, Discover), and ACH. Payment processing fees may apply for certain methods.

5. Ownership Rights

You own your website. Upon final payment, all rights to the following are transferred to you:

• Website design and code - You may migrate the site to any hosting provider at any time
• Website content - All copy, images, and materials provided by you or created for you
• Domain name - Registered in your name, controlled by you
• Custom graphics, illustrations, and logos created specifically for your project

What you do not own:

• Hosting infrastructure - If you use HostSB hosting, the server infrastructure remains ours; however, you can migrate away at any time and take a complete backup of your site
• Third-party plugins and themes - License terms of any third-party software installed on your site are governed by their respective vendors
• Stock imagery - Licensed to your project only; not transferable

6. Hosting Terms

HostSB hosting is optional and priced at $59/month. This service includes:

• Fast, secure website hosting on managed WordPress infrastructure
• SSL certificate (HTTPS)
• Daily automated backups (retained for 30 days)
• WordPress core, theme, and plugin updates
• Basic uptime monitoring
• Basic technical support during business hours

Hosting is billed monthly in advance. You may cancel hosting at any time with 30 days written notice. Upon cancellation, we will provide a full backup of your site for migration to your preferred hosting provider.

We do not guarantee 100% uptime. While we strive for maximum availability, occasional downtime may occur due to server maintenance, updates, third-party outages, or unforeseen technical issues.

8. Project Timeline

Estimated project timelines are provided at kickoff and depend on project scope, client responsiveness, and content readiness. Standard website projects typically range from 2-6 weeks from receipt of all required client content.

Timelines may be extended due to:

• Delayed client feedback or content delivery
• Change requests beyond original scope
• Third-party service delays (domain registrars, hosting providers, integrations)
• Force majeure events (weather, power outages, natural disasters)

9. Cancellation & Refunds

Cancellation Before Work Begins

If you cancel before any project work has started, your deposit is refundable minus a $50 administrative fee.

Cancellation After Work Begins

Once project work has commenced, deposits are non-refundable. If you cancel mid-project, you will be billed for work completed to date, calculated at a rate of $95/hour. Any amounts previously paid that exceed work completed will be refunded within 30 days.

Hosting Cancellation

Hosting services may be cancelled at any time with 30 days written notice. Cancellations mid-billing-cycle are not pro-rated - service continues through the end of the current billing period.

10. Intellectual Property

Upon receipt of final payment, all custom design elements, custom code, and copywriting created specifically for your project are assigned to you as work-for-hire.

HostSB Marketing retains the right to display completed work in our portfolio, case studies, and marketing materials unless you request in writing that we do not (such requests are honored without penalty).

You retain full ownership of any content, materials, logos, trademarks, or intellectual property you provide to us during the engagement.

11. Warranties & Disclaimers

We warrant that services will be performed with reasonable care and skill, in accordance with generally accepted industry practices.

All services and deliverables are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• Your website will be error-free or uninterrupted
• Any specific commercial outcomes will result from services provided
• Third-party services integrated into your site (payment processors, booking systems, chat widgets, etc.) will function without issue
• Search engine rankings or traffic levels will improve as a result of SEO work (see Section 7)

12. Limitation of Liability

To the maximum extent permitted by law, HostSB Marketing's total liability arising from services provided is limited to the total amount paid by the client for services in the 12 months preceding the claim.

In no event shall HostSB Marketing be liable for:

• Lost profits, lost business opportunities, or lost revenue
• Loss of data or business interruption
• Consequential, incidental, special, or punitive damages
• Third-party claims against the client
• Damages arising from acts of God, force majeure, or events outside our control

13. Confidentiality

Both parties agree to keep confidential any proprietary business information disclosed during the engagement. This obligation continues after the engagement ends.

Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

14. Third-Party Services

Websites we build may integrate with third-party services such as Google Analytics, Google Business Profile, hosting providers, domain registrars, payment processors, and various WordPress plugins.

Use of these services is subject to their respective terms of service and privacy policies. HostSB Marketing is not responsible for third-party service performance, availability, pricing changes, or policy modifications.

15. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Modifications will be effective immediately upon posting to our website.

Material changes to terms affecting active client engagements will be communicated via email. Continued use of services after modification constitutes acceptance of the modified terms.

16. Governing Law

These Terms of Service are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any disputes arising from services provided shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved in the courts of Hernando County, Florida.
